TO ALL WHOM THESE PRESENTS SHALL COME, or who the same may in anywise concern, Greeting:

WHEREAS, In and by “The New Brunswick Companies’ Act” (being Chapter 88 of the Revised Statutes, 1927), it is amongst other things in effect enacted, that the Provincial Secretary-Treasurer may, by Letters Patent, under his Seal of Office, grant a Charter to any number of persons not less than three, who having complied with the requirements of the Act, apply therefor, constituting such persons and others who thereafter become Shareholders in the company thereby created, a Body Corporate and Politic, for any of the purposes or objects to which the Legislative authority of the Legislature of New Brunswick extends, except the construction and working of Railways, and the Business of Insurance or for the Management of Trades Unions, Friendly Societies, Building Societies or other Associations of like Character, upon the applicants therefor establishing to the satisfaction of the Provincial Secretary Treasurer due compliance with the several conditions and terms in and by the said Act set forth and thereby made conditions precedent to the granting of such Charter.

AND WHEREAS, Francis Edward Breau, Policy Constable; William Ellworth Bell, Salesman, Homer Betz, Accountant, all of the City of Moncton in the County of Westmorland and the Province of New Brunswick; have made application for a charter under the said Act constituting them and such others as may become Shareholders or Members in the said
Company, a Body Corporate and Politic by the name of “THE MONCTON KENNEL CLUB LIMITED”, for the purposes hereinafter mentioned, and have established the sufficiency of all the facts required to be established previous to the granting of such Letters Patent, and have filed in the Office of Provincial Secretary-Treasurer all documents in connection with the provisions of the said Act.

NOW KNOW YE, that I, the said D. D. Patterson, Provincial Secretary-Treasurer of the said Province, under the provisions of the said Act, do, by these Letters Patent constitute the above named persons and all others who may become Shareholders of Members in the said Company, a Body Corporate and Politic by the name of “THE MONCTON KENNEL CLUB LIMITED”, with all the rights and powers given by the said Act, and for the following purposes,
namely,

To advance the best interest of the dog and dog fancier in all matters;

To encourage the support of Dog Shows:

To emphasize the value of pure breeding of dogs;

To create an appreciation on the part of the public of the value of pedigreed dogs;

To provide a club house and other conveniences for the use of the Members of the Moncton Kennel Club and to furnish and maintain the same, and to permit the same to be used by the Members of the said Club and their guests, either gratuitously or upon such terms as may from time to time be agreed upon, and if thought fit to maintain and conduct a Club and promote social and friendly intercourse among its members, or to manage the affairs of the
Club, or any of them, and generally to do whatever may seem best calculated to promote the interests of the Club.

To do all such other things as are necessary, incidental or conducive to the attainment of the objects therein before mentioned and to do all such other things as a company is empowered to do by “The New Brunswick Companies’ Act” and Acts in amendment thereof.

The Company shall hold all property both real and personal, and all the profits and income arising therefrom, or acquired by it, by purchase, gift, bequest of otherwise in trust for the objects and purposes set out above, and no dividends shall be declared or paid on any capital stock of the Company.

The Shares of the Capital Stock of the Club shall not be transferable to a person not then being a Member of and Shareholder in the Club until the name of the proposed transferee or Member has been first submitted for the approval of the existing Shareholders or Members and approved in such manner as may be prescribed from time to time by the by-laws of the Club.

THAT THE AREA of operation of the Moncton Kennel Club shall be a 25 mile radius of the City of Moncton. The area of operation shall include the towns of Dieppe and Riverview.

The area of operation does not limit the Moncton Kennel Club from accepting memberships from the entire Province of New Brunswick.

THAT THE PLACE within the Province of New Brunswick which is to be the Chief Place of business of the said Company, is at the CITY OF MONCTON in the County of Westmorland.

THE PROVISIONAL DIRECTORS BEING Francis Edward Breau, William Ellsworth, and Homer Betz.

THE CAPITAL SOTCK of the said Company shall consist of FIVE HUNDRED COMMON SHARES WITHOUT NOMINAL OR PAR VALUE, which said shares when issued shall not exceed in the aggregate the sum of FIVE THOUSAND DOLLARS.
